Membership Terms & Conditions

The following membership terms and conditions (“Membership Terms and Conditions”) regulate the contractual relationship between [DoRich Limited] and their subsidiaries (hereinafter referred to as “we” or “our” or “us”), [DoRich Team] members (hereinafter referred to as “Members”) and [DoRich Team] membership (hereinafter referred to as “Membership”). These Membership Terms and Conditions are effective as of 22/05/2022. Members shall read through the following Membership Terms and Conditions carefully.



Membership Application

  1. Users can apply as applicants for Membership at [DoRich Platform] subject to the Membership Terms and Conditions set forth herein.

  2. We reserve the right to admit or refuse Membership. We also reserve the right to decide at our sole discretion on all matters relating to Membership.

  3. Successful applicant will be issued a unique Membership identification number (“Membership ID”). The Membership ID is not transferable and we reserve all the right to cancel or re-issue the Membership ID. Members are responsible for the security of their Membership ID, passwords and login. We shall not be held liable in the event that a Membership ID, password or login is disclosed, whether intentionally or not, so as to allow a third person access to the Member’s account to make any transactions.

  4. Any person over the age of 18 can apply for Membership.

  5. Members may enjoy promotional offers from us from time to time, including without limitation, multiple Membership Reward Points or other special benefits.

  6. We reserve the right to audit a Member's account without prior notice to ensure compliance with the Membership Terms and Conditions and any other applicable laws and regulations. During the course of an audit, the Member’s account may be temporarily suspended, and the Member may not be permitted to access his/her account nor perform any transactions.



    Membership Rewards Program

  7. We have the right to offer and designate earning programs of membership reward points (“Membership Reward Points”), procedures, services, redemption and any such other things in relation to the Membership Reward Points at our sole discretion at [DoRich Platform] from time to time without any advance notice.

  8. These Membership Terms and Conditions are subject to change and reference should be made to the applicable Membership Terms and Conditions before service usage. We may at any time, vary the method or procedure for earning Membership Reward Points, which should then be followed by Members.

  9. Our records (including Membership Reward Points, total Membership Reward Points redeemed, redemption dates, expiry dates and so forth) shall be considered as complete, final and binding against any Member. We reserve the right to correct and update any information without prior notice.

  10. We have the right at our sole discretion to change the Membership Terms and Conditions, terminate any Members and/or cancel the Membership Reward Points of any Member at any time without prior notice. Although we use reasonable efforts to notify Members of material changes to Membership Terms and Conditions, it is the responsibility of Members to keep themselves up to date in respect of the same. Any use of Membership by a Member will be deemed as acceptance of any amendment. We shall not be liable for loss or damages resulting from any amendment to the Membership Terms and Conditions.

  11. All matters relating to Membership Reward Points shall be subject to our final decision in the event of any dispute. The Member hereby acknowledges and agrees to be bound by this provision.

  12. Members should immediately report any suspected unauthorised Membership Reward Points redemption and/or usage. We will decide at our discretion what action, if any, will be taken. We may refuse to compensate Members for any unauthorised redemption or usage, should a Member contribute to an unauthorised redemption or usage in any way, by negligence or otherwise, including the disclosure of a Member's ID, password or login.

  13. The redemption of Membership Reward Points is subject to the Member being responsible for any applicable taxes, handling fees and other fees charged by any governmental authorities. The Member shall also be responsible for all other expenses and any other charges, claims or liabilities arising in relation to the usage of Membership Reward Points.

  14. Except as provided in these Membership Terms and Conditions, Membership Reward Points are not transferable in any way, and cannot be bequeathed, devised or otherwise transferred by operation of law.



    Membership Termination

  15. Any inappropriate or fraudulent conduct, any breach of these Membership Terms and Conditions, manipulation, misuse or abuse of “Membership”, “Membership ID”, “Membership Reward Points” or rights and interests related to the Membership would result in termination of Membership and all related rights and interests.

  16. If a Member has created more than one account, we have the right to cancel any account of such Member, and cancel or decline to consolidate the accumulated Membership Reward Points between such accounts. For the avoidance of doubt, Members who use their names in other languages to create multiple memberships will also be subject to Membership termination.

  17. A Member can notify us in writing at any time to cancel his/her Membership.

  18. We may terminate the Membership of a Member at our sole discretion at any time without prior notice. Upon expiry of the notice period, all Membership Reward Points not redeemed shall be cancelled.

  19. When a Member’s account is cancelled, all Membership Reward Points not redeemed in such account shall be cancelled automatically and not be carried forward for future use.

  20. Upon the death of a Member, the Membership and all Membership Reward Points not redeemed shall be cancelled.

  21. Termination of Membership for whatever reason shall be without prejudice to the accrued rights and remedies of us as at the date of termination.



    Governing Law and Dispute Resolution

  22. The Membership Terms and Conditions and any agreement between you and us and all rights, obligations and liabilities of the parties shall be governed by and construed in accordance with the laws of Hong Kong.

  23. Any dispute, controversy, difference or claim arising out of or relating to the Membership Terms and Conditions, and any agreement between you and us, including the existence, validity, interpretation, performance, breach or termination thereof or any dispute regarding non-contractual obligations arising out of or relating to it shall be referred to and finally resolved by arbitration administered by the Hong Kong International Arbitration Centre (the “HKIAC”) under the Hong Kong International Arbitration Centre Administered Arbitration Rules in force when the Notice of Arbitration is submitted. The law of this arbitration agreement shall be Hong Kong law. The seat of arbitration shall be Hong Kong. The number of arbitrators shall be three. Each Party shall nominate one arbitrator and the HKIAC shall appoint the presiding arbitrator of the arbitral tribunal. The arbitration proceedings shall be conducted in Chinese.
